MEMBERSHIP

Each Member shall be bound by the Membership Terms and Conditions below.

1. DEFINITIONS:

1.1 “Activation Date” shall mean the date that the Joining Fee or Minimum Week Obligation and first monthly or weekly Membership Fees have been paid in full.

1.2 “Anniversary Date” shall mean the date each month, approximately thirty (30) Days after the Activation Date, or each week, approximately (7) Days after the Activation Date, at which time the Contract Holder is charged and responsible to pay the applicable monthly or weekly Membership Fees.

1.3 “Contract Holder” shall mean the Member, in the event of a single membership, or in the event of Group Membership, who has placed his/her credit card on file and is responsible for the Joining Fees and Membership Fees for all Members under the Group Membership.

1.4 “Days” shall mean calendar days.

1.5 “Full Member” shall mean a member who pays the Full Member Membership Fees and is entitled to access to the Flagstaff Climbing and the Northern Arizona Yoga Center facilities during normal business hours.

1.6 “Group Membership” shall mean a membership package whereby two or more Members are grouped together and the applicable Membership Fees are paid by the designated Contract Holder. Group Membership is available to only Full or Premium Members and is limited to two (2) adults and only the dependent children of either or both adult Members.

1.7 “Members” shall mean those persons that have signed up for a Full, Premium, or Youth Program (Scramblers, Jr Team or Team) membership (collectively “Membership”) at Flagstaff Climbing and the Northern Arizona Yoga Center and which Membership is active (i.e. all applicable Membership Fees are current).

1.8 “Membership Fees” shall mean the fees charged to each Member which entitle the Member to use the Flagstaff Climbing and Northern Arizona Yoga facilities and other privileges applicable to the respective Membership purchased. Membership Fees are non-refundable and non-transferable.

1.9 “Joining Fees” shall mean the then applicable rate charged to each monthly Member upon joining. Excluding Youth Program Members, all new monthly Members, even when added to a Group Membership or after a Membership has lapsed, are required to pay a Joining Fee at the Activation Date. Joining Fees are non-refundable and non-transferable.

1.10 “Minimum Week Obligation” shall mean the then applicable minimum amount of weekly Membership Fees each weekly member commits to purchasing upon joining. Currently the Minimum Week Obligation is four (4) weeks. All new weekly Members, even when added to a Group Membership or after a Membership has lapsed, are required to complete the Minimum Week Obligation at the Activation Date. Minimum Week Obligation fees are non-refundable and non-transferable.

1.11 “Premium Member” shall mean a Member who pays the Premium Member Membership Fees and is entitled to access to the Flagstaff Climbing and the Northern Arizona Yoga Center facilities during normal business hours as well as the Main Street Boulders facility after hours.

1.12 “On-Hold” or “On-Hold Membership” is available to only Full or Premium Members and means a membership which does not entitle the Member to use the Flagstaff Climbing and Northern Arizona Yoga facilities or other privileges granted to the Member but does allow, the Contract Holder to reactivate the applicable Membership at a future date without having to pay a new Joining Fee.

1.13 “Youth Program Member” shall mean a child between the ages of 4 and 17 who is part of the Scramblers, Jr Team or Flagstaff Climbing Team and pays the applicable Youth Program Membership Fee.

2. PAYMENTS:

2.1 Auto Pay. The Contract Holder agrees to pay the Joining Fees and applicable monthly or weekly Membership Fees for said Contract Holder (and, if applicable, any Members under a Group Membership) on the Activation Date and Anniversary Date and further agrees and authorizes Flagstaff Climbing to automatically charge his/her credit card for all such fees.

2.2 Direct Pay (only allowed under special circumstances). As an alternative to paying the monthly or weekly Membership Fees via Auto Pay, a Contract Holder may pay the applicable monthly or weekly Membership Fees for said Contract Holder (and, if applicable, any Members under a Group Membership) by cash, check, cashier’s check, or money order provided the Contract Holder pays all applicable monthly or weekly Membership Fees at least seven (7) Days prior to the Anniversary Date directly through the membership director. Direct Pay cannot be performed at the front desk.

2.3 Failure to Pay. All applicable monthly or weekly Membership Fees must be paid by the Anniversary Date. Failure to timely pay shall result in the automatic suspension of the Membership and if not paid within fifteen (15) Days of the Anniversary Date, said Membership shall be automatically terminated without further notice as of the Anniversary Date which was not paid. Notwithstanding the above, a Member may reinstate his/her and/or Group Membership, without paying a new Joining Fee or Minimum Month Obligation, by paying any and all delinquent Membership Fees withing thirty (30) Days of the Anniversary Date which was not paid. Any Members whose Membership has not been reinstated as set forth above and thereafter wish to rejoin, shall be subject to the then applicable Joining Fee or Minimum Month Obligation and Membership Fees to activate a new Membership.

3. MEMBERSHIP CHANGES:

3.1 Contract Holder Obligations. Contract Holder agrees to keep Flagstaff Climbing updated with any new addresses, phone numbers, emergency contacts and any and all changes to their credit card on file, including the billing address.

3.2 Membership Changes. The Contract Holder, and only the Contract Holder, may make changes to their Membership (or Group Membership, if applicable), including without limitation, removing Members, placing a Membership On-Hold, cancelling a Membership, or adding a Member (if qualified per the Group Membership). Notice of any changes shall be given to Flagstaff Climbing by email through our “Contact” webpage at www.flagstaffclimbing.com at least seven (7) Days prior to the next applicable Anniversary Date. Any changes made within seven (7) Days of the next Anniversary Date will not be processed until the following Anniversary Date. Contract Holder agrees that he/she is not entitled to, nor shall receive, a refund of the monthly or weekly Membership Fees paid within seven (7) Days of the Member’s notice of said changes. The Members/Contract Holder acknowledge that Flagstaff Climbing does not make Membership changes at the front desk. Flagstaff Climbing reserves the right, in its sole and absolute discretion, to terminate any membership at any time, with or without cause.

3.2 On Hold Membership. A Contract Holder may request, in accordance with the notice requirements above, that his/her Membership (or any Members under their Group Membership) be placed On Hold. In the event of a Group Membership, all Members of the group must be placed On-Hold and will be placed On-Hold at the same time. The On-Hold Membership shall be subject to the then applicable monthly On-Hold Membership fee (currently Ten Dollars ($10.00)) or the then applicable weekly On-Hold Membership fee (currently Three Dollars ($3.00)) or the then applicable monthly On-Hold Membership fee (currently Ten Dollars ($10.00)) which shall be paid on each consecutive Anniversary Date until said Membership is reactivated or cancelled. There is no limit on the term of the On-Hold Membership or how often a Membership can be reinstated and/or placed On-Hold. Note: Weekly members are unable to place membership On-Hold until after the initial 4-week Minimum Weekly Obligation.

4. COMPLIANCE WITH ALL RULES AND REGULATIONS: The Contract Holder and each Member acknowledges and agrees to comply with all existing General facility and, if applicable, After Hours Rules and Regulations regarding your use of the Flagstaff Climbing facilities, copies of which are located on-site and on the website and further agree that said rules and regulations may be amended from time to time in the sole discretion of Flagstaff Climbing.

Each person acknowledges and agrees that by entering and using Flagstaff Climbing’s Main Street Boulders location After Hours (as defined below) they agree to do so in strict conformance with and to be bound by the General facility rules and regulations as well as these specific After Hours rules and regulations below.

Premium Members ONLY shall be entitled to access, enter and use the Facility After Hours. Premium Members under the age of 18 are not allowed during After Hours unless accompanied by their parent or legal guardian who is also a Premium Member on the same Premium Membership.

-Premium Members shall enter the Facility, one at a time, with the key fob provided as part of the Premium Membership and which key fob is unique to you may only be used by you (no exceptions). If the key fob does not allow entry, contact us during normal business hours.

-To enter, scan your key fob at the entrance door and look up at the camera.

-To exit, take your key fob and other personal belongings and exit through the main door making sure it is secured and leaving the premises in the same condition as you found it. You do not need to scan out.

SAFETY AND INJURIES

-You are responsible for your own safety and assume the risk of injury. “See also your signed waiver on file with Flagstaff Climbing.”

-You acknowledge that there is no Flagstaff Climbing staff “on-duty” during After Hours and that you are strongly encouraged to climb with a companion to assist you in the event of an injury.

-There is a phone located at the front desk counter to contact emergency personnel and/or the police in the event of an injury or other incident which requires assistance. Report all injuries or other incidents to Flagstaff Climbing at your earliest opportunity via email, phone, or online.
